OceanaGold signs deal to buy Australian company Ausgold in offer valued at US$549M

VANCOUVER — OceanaGold Corp. has signed a deal to buy Ausgold Ltd. and its Katanning gold project in Australia in an offer valued at US$549 million.

The companies say the bid implies a total offer value of A$1.36 per Ausgold share.

Under the proposal unanimously recommended by the Ausgold board, shareholders will receive 0.03365 common shares of OceanaGold for each share of Ausgold held.

Ausgold shareholders also have the opportunity to choose to receive cash, subject to a maximum available cash pool of US$137 million.

Once the deal is complete, Ausgold shareholders will own six to eight per cent of OceanaGold.

The Katanning project is about 275 kilometres southeast of Perth in Western Australia.
